Board of Directors ("the Board")

Section 1 — Board role, size and compensation:
- (a) The board is responsible for overall policy and direction of the association, and delegates responsibility of day-to-day operations to volunteers and committees.
- (b) There shall be up to Ten (10) officers but no fewer than Three (3) officers collectively referred to as 'The board'. The shall always be a President also referred to as the Chair, a Treasurer, and a Secretary.
- (c) No officer shall be compensated for their service as an officer, though the corporation may provide insurance and indemnity for officers as allowed by law.
Section 2 — Terms
- (a) All board members shall serve one year terms.
Section 3 — Meetings and notice
- (a) The board shall meet at least quarterly, at an agreed upon time and place. An official board meeting requires that each board member receive written notice (such as email) at least 14 days in advance.
Section 4 — Board election protocol
- (a) Any member can nominate a candidate to the slate of nominees.
- (b) Nominations should be submitted to the Secretary.
- (c) Elections will be held at the Annual Meeting except in the event of a vacancy or during a special meeting to form a new committee.
- (d) At least three board members must be elected to fill the positions of Chair, Treasurer, and Secretary.
- (e) The Board shall have up to 10 elected members, but no fewer than 3.
- (f) To be elected, nominees must receive a majority vote by the members present at the annual meeting or special meeting or by proxy.
- (g) Votes will be accepted on paper, ballot style to be taken up and counted by the secretary.
- (h) Additional board positions may be created or terminated at the annual meeting or special meeting by a majority vote of the members in attendance or by proxy.
- (k) Members shall be elected for any additional board posistions.
Section 5 — Quorum
- (a) Two thirds (2/3) of board members constitues a quorum for business transactions to take place and motions to pass.

ASSUMPTION OF RISK: I acknowledge that inherent risks, dangers and hazards and such exist when using power tools commonly used in electronics construction, fabrication, software design and other technology related activities. Participation in such activities and/or the use of equipment associated with technology design, manufacture and experimentation may result in injury, illness, death or damage to personal property. These risks and dangers may be caused by other participants, members or by accidents, acts of nature or other causes. Risks and dangers may arise from foreseeable or unforeseeable causes including, but not limited to electrocution, burns, impalement, injury from slips or falls, etc.
RELEASE OF LIABILITY: The member fully assumes all risks associated with participation in events and exempts and releases HackerspaceSG, its members, officers, agents, board members, from action whatsoever arising out of any damage, loss or injury to the participant or the participant’s property while upon the premises or using any equipment of the organization or while participating in any of the activities contemplated by this agreement whether such loss, damage, or injury results from the negligence of the corporation, its members, agents, or from some other cause.
COVENANT NOT TO SUE: The participant agrees never to institute any suit or action at law otherwise against HackerspaceSG, its members, officers, board members, agents, nor to initiate or any way assist the prosecution of any claim for damages or course of action which the member, member’s heirs, executors or administrators hereafter may have by reason of injury to the person of the member or to the participant’s property arising from the activities contemplated by this agreement.
THIRD PARTY INDEMNIFICATION: The member will indemnify, save and hold harmless HackerspaceSG, its members, officers, board members, or agents from any and all losses, claims, actions, or proceedings of every kind and character which may be presented or initiated by any other persons or organizations and which arise directly or indirectly from the actions of the member while engaged in the activities contemplated by this agreement.
I hereby acknowledge that I have CAREFULLY read all of the provisions above, fully understand the terms and conditions expressed there, and do freely choose acceptance of the provisions of the foregoing paragraphs relating to assumption of risk, release of liability, covenant not to sue, and third party indemnification.
Membership fees
Membership fees are due on the first of each month, payable to the Treasurer, depending on the membership tier signed up for. Hackerspace.SG membership tiers can be found at http://hackerspace.sg/membership. Membership is payable up to 6 months in advance.
Membership dues may, or may not be monetary, to be decided at the discretion of the Board. Membership fees and benefits may be changed subject to the approval of the community.
